Company status clarification: WAYSCloud AS

The reason WAYSCloud AS entered the formal compulsory-dissolution process was that the company's auditor resigned in September 2025.

At the time, WAYSCloud AS was not required by law to have an auditor. The company had nevertheless chosen to appoint one voluntarily, as part of a transparency and governance posture.

However, once an auditor has been formally appointed, Norwegian company-law procedures do not distinguish between companies with a mandatory audit requirement and companies that have opted into audit voluntarily. The auditor's resignation therefore triggered the same formal process, even though the original appointment was voluntary.

This was not caused by a customer-data breach, security incident, platform failure or an ordinary bankruptcy situation in the operational sense. It was caused by administrative and accounting-related formalities that must be resolved under Norwegian company law.

The company has gone through a demanding period while simultaneously reducing costs, restructuring operations and building out a significantly broader platform. During this period, certain accounting, audit and formal company requirements were delayed.

These matters are now being addressed in cooperation with the estate administrator and legal counsel.

WAYSCloud continues to operate normally.

The platform currently consists of 22 services across 20 countries, covering infrastructure, security, communications and AI/compute.

Operations are monitored continuously through our internal Operations Center:

• 301 monitored components across services, workers, cron jobs and timers
• Automatic component discovery every hour
• Health checks every 5 minutes
• Approximately 43,000 operational execution events per day
• Approximately 299,000 operational execution events over the last 7 days
• Approximately 12,000 processed data records in the last 24 hours
• Approximately 85,000 processed data records over the last 7 days
• Approximately 82,000 API events over the last 30 days
• 2.35 million logged API events since 19 March 2026
• Approximately 25 million DNS queries processed

These figures are included to make one point clear: WAYSCloud is not dormant, paused or being shut down. The platform is running, monitored and actively processing operational workload every day.

There is no customer action required.

The formal corporate process does not change the operational status of the platform.

Services remain online. Monitoring remains active. Support and operational follow-up continue. The platform's internal control systems continue to discover, monitor and record service activity across the environment.

This includes, among others:

• meil.no
• identity and authentication systems
• mail, calendar, files and related workspace services
• infrastructure and platform services
• DNS and security services
• AI/compute-related services
• operational monitoring and support systems

We understand that users, customers, partners and journalists may reasonably ask whether the company is stable enough to rely on. That is why we are publishing this clarification openly rather than responding only in private conversations.

Our current position is that WAYSCloud remains operational, technically controlled and actively maintained while the formal process is being resolved.

WAYSCloud is currently working on three parallel tracks:

• resolving the formal corporate and accounting matters,
• continuing operations and customer delivery,
• raising new strategic capital.

The company has started a capital process targeting approximately EUR 2 million. The purpose of this capital process is to stabilise the company, resolve outstanding formal and creditor matters, strengthen governance and support commercial rollout of the platform.

The dialogue with the estate administrator is constructive, and the estate administrator is positively inclined toward a return of the company to ordinary operation. The company's expectation is that WAYSCloud AS can continue as normal once the required formal and restructuring steps have been completed.

Platform infrastructure, operational monitoring and development activity continue under ordinary operational procedures during the restructuring process.

As part of this process, WAYSCloud is also making operational and leadership adjustments.

The platform has grown significantly, and the company is now moving from a build phase into a commercial rollout phase. That requires stronger administrative routines, clearer governance, better financial reporting and additional leadership capacity.

These changes are being implemented to strengthen the company for the next phase, not because the platform has stopped operating.
